Closing Average Share Value

Closing Average Share Value. The average, over the days in the Closing Average Period, of the closing price of the company's stock multiplied by the Accumulated Shares for each day during the Closing Average Period.

Closing Average Share Value. For the Company and each of the Peer Companies, the average over the days in the Closing Average Period, of the closing price of its common stock, multiplied by the Accumulated Shares for each day during the Closing Average Period. In the case of a Change of Control of the Company, the Closing Average Share Value of the Company shall be the per share consideration paid by the acquiror of the Company, as determined by the Committee in its sole discretion
