Closing Date Net Working Capital. The Net Working Capital as of the Closing Date, immediately prior to giving effect to the transactions contemplated by this Agreement; provided, that for purposes of determining the Closing Date Net Working Capital, the amount of short-term liability for workers compensation claims of the Company and its Subsidiaries as of the Closing Date shall be deemed to be zero.
