Closing Date

Closing Date. Means the Restructuring Effective Date, as defined in the Proposal Statement.

Closing Date. Shall mean (i) the later of (a) the second Business Day following the Approval Date and (b) the Effective Date (as such term is defined under the Employee Transition Agreement) or (ii) such other date as agreed to by the Parties.

Closing Date. Means the date on which FAS's purchase of the Property is closed in accordance with Section 5.

Closing Date. Shall mean the closing date of the Merger under the Merger Agreement.

Closing Date. Shall mean August 31, 2012, or such earlier or later date mutually agreed upon by the parties hereto in writing and in accordance with Section 11.6 following the satisfaction or waiver by Verify and Ukabobs of the conditions precedent set out in Sections 5.1 and 5.2 respectively;

Closing Date. Means a date mutually agreed upon by the Parties hereto in writing and in accordance with Section 11.1 following the satisfaction or waiver by the PGT and the Debtors of the conditions precedent set out in Sections 10.1 and 10.2, respectively;

Closing Date. The earlier of March 4, 2013 and the day that is the fifth business day following the date this Agreement is accepted;

Closing Date. Shall mean a date mutually agreed upon by Priveco and Pubco following the satisfaction or waiver by Pubco and Priveco of the conditions precedent set out in Sections 5.1 and (m) respectively;

Closing Date. Has the meaning given to such term in the NPS SPA.

Closing Date. March 31, 2011, or such a earlier or later date mutually agreed upon by the parties hereto, but which shall be no later than March 31, 2011;
