Closing Market Value

Closing Market Value. Shall mean the market value of the Company on the date of any Negotiated Restructuring Transaction, which determination shall be made by the Committee, taking into account the total consideration paid or transferred in connection with the closing of a Negotiated Restructuring Transaction.
