Closing

Closing. The consummation of the transactions under this Agreement contemplated to be undertaken on the Closing Date

Closing. Means the consummation of the transactions contemplated by that certain Agreement and Plan of Merger, dated February 26, 2012, by and among Payor, Remark Media, Inc., a Delaware corporation, and its wholly-owned subsidiary, Remark Florida, Inc., a Florida corporation pursuant to which Remark Florida, Inc. will be merged with and into Payor with Payor being the surviving corporation.

Closing. Has the meaning ascribed to that term in paragraph 3.

Closing. The date on which Stratus has made its capital contribution to the Company.

Closing. All actions required to take place on the Closing Date as herein provided have occurred and the conditions to Closing set out in Section 7 and Section 8 hereof have been satisfied.
