Closing

Closing. The meaning set forth in the Business Combination Agreement

Closing. The closing of all Transactions contemplated under this Agreement, including without limitations, the transfer of the Transferred Shares in accordance with the terms and the issuance of the Offered Shares; all, subject to the conditions of this Agreement

Closing. Means the date on which the transactions contemplated by the Agreement and Plan of Merger are consummated.

Closing. The consummation of the transaction contemplated herein on the Closing Date pursuant to the terms of this Agreement

Closing. The delivery of the Closing Documents, which shall occur at a mutually agreed time and place on the Closing Date. The term "Close" shall have a correlative meaning.

Closing. Means the date on which the transactions contemplated by the Business Combination Agreement among the Company, 1291924 B.C. Unlimited Liability Company, an unlimited liability company existing under the laws of British Columbia, and DeepGreen Metals Inc., a company existing under the laws of British Columbia, dated March 4, 2021, are consummated.

Closing. The date on which a Change in Control is consummated.

Closing. Means, (i) in the case of a Change in Control, the initial closing of the Change in Control as defined in the definitive agreement executed in connection with the Change in Control, and (ii) in the case of an IPO, the date at which the Common Stock is first made available for public purchase pursuant to the IPO. In the case of a series of transactions constituting a Change in Control, Closing means the first closing that satisfies the threshold of the definition for a Change in Control.

Closing. As defined in the Asset Purchase Agreement.
