Committee Chair Retainer

Committee Chair Retainer. Shall mean the portion of the annual retainer fee, if any, paid by the Company to a Participant for his or her services as chair of one of the Board's committees.

Committee Chair Retainer. Means the annual cash retainer payable to Eligible Directors for service as the chair of committees of the Board during the calendar year. The amount of the Committee Chair Retainer is set forth on Exhibit A hereto, and may be amended from time to time by the Board or the Committee.

Committee Chair Retainer. The annual Award of Stock Units, established by the Board, to be paid to a Director for service as Chairman of a committee of the Board of Directors for a Director Year.

Committee Chair Retainer. The annual retainer fee to be paid to a Director for service as the Chair of a standing committee of the Board for a given Director Year.
