COMMON STOCK AUTHORIZATION DATE. Means the first Business Day after an amendment to the "Certificate" (as defined in the Securities Purchase Agreement) to increase the number of authorized shares of Common Stock becomes effective (which in any event shall occur no later than 3 Business Days after the date on which the "Share Authorization Approval" (as defined in the Securities Purchase Agreement) occurs).
