Common Stock Outstanding. Common Stock Outstanding. Means, at any time, without duplication, the sum of (i) the aggregate number of shares of Common Stock outstanding at such time and (ii) the aggregate number of shares of Common Stock issuable assuming conversion at such time of the Convertible Preference Stock, the Senior Convertible Preferred Stock, the Series B Preferred Stock and any other capital stock of the Company (but not including any shares of Common Stock issuable upon exercise of any options, warrants or other similar rights).

Common Stock Outstanding. The aggregate number of shares of Common Stock from time to time outstanding and all such shares issuable (i) upon conversion of all indebtedness or shares of stock convertible into or exchangeable for Common Stock from time to time outstanding, and (ii) upon the exercise of all outstanding rights, warrants or options to subscribe for or purchase Common Stock or any securities set forth in subsection (i) hereof.

Common Stock Outstanding. Means, as of a particular time of determination, the number of shares of Common Stock issued and outstanding at such time (for clarification purposes, excluding any shares of Common Stock owned or held by or for the account of the Company).
