Example Definitions of "Common Stock Value"
Common Stock Value. As of any Conversion Date, (A) in the case of any Voluntary Conversion, the greater of (I) the Fixed Conversion Price and (II) eighty-five percent (85%) of the arithmetic average of the Volume Weighted Average Prices per share of Common Stock on each of the fifteen (15) consecutive Trading Days immediately preceding such Conversion Date (a "Voluntary Conversion Measurement Period"), or (B) in the case of any Forced Conversion, eighty-five percent (85%) of the lesser of (a) the Closing Price on... such Conversion Date (as defined in Section 2(a), and (b) the arithmetic average of the Volume Weighted Average Prices on each of the fifteen (15) consecutive Trading Days ending on such Conversion Date (a "Forced Conversion Measurement Period"; a Voluntary Conversion Measurement Period or a Forced Conversion Measurement Period being referred to as a "Measurement Period"); provided, that, in the event that a Stock Event is consummated during any Measurement Period, the Volume Weighted Average Price for all Trading Days during such Measurement Period prior to the effectiveness of such Stock Event shall be appropriately adjusted to reflect such Stock Event.
