Company Affiliate Transaction. Any agreement, contract or transaction, to or by which the Company or any Subsidiary, on the one hand, and any "controlling person" of the Company (within the meaning of Section 20 of the Exchange Act and including, without limitation, Kelso and its Affiliates), on the other hand, are parties or are otherwise bound.
