All expenses incurred by the Company in complying with its obligations hereunder, including without limitation, all registration, qualification, listing and filing fees, printing expenses, fees and disbursements of counsel for the Company, fees and expenses of the independent auditors of the Company (including the expenses of preparing and delivering comfort letters), blue sky fees and expenses, and the expense of any special audits incident to or required by any such registration
