Company's TSR Percentile

Company's TSR Percentile. For any Performance Period, the percentile measured on the last trading day of the Performance Period in which the Company TSR falls as compared to the Total Shareholder Return of the companies included in the S&P 500 Composite Index as of the last trading day of such Performance Period. The Company's TSR Percentile will be approved by the Committee as soon as practicable following the end of each Performance Period.
