Compliance Date

Compliance Date. Means, with respect to any fiscal quarter, the date on which annual or quarterly financial statements for the period ending on the last day of such fiscal quarter are required to be furnished with respect thereto as set forth in Section 5.1(a) or (b), without regard to whether such financial statements are actually furnished on such date.

Compliance Date. The date on which the Administrative Agent receives the Compliance Certificates delivered by the Borrower pursuant to Section 5.1 (Financial Statements and Other Information) of each Credit Agreement in respect of the twelve (12) months period ending on June 30, 2015 confirming that it is in compliance with the financial ratios set out in each Credit Agreement
