Consent. Any material approval, authorization, consent or ratification by or on behalf of any Person that is not a Party to this Agreement, or any waiver of, or exemption or variance from, any Contract, License Agreement or Order, the failure to obtain which would have a Material Adverse Effect or would prohibit the Acquisition

Consent. The Required Holders shall be deemed to have consented to the Convertible Subordination Provisions to be included in the 2010 Convertible Notes and the convertible senior subordinated notes of the Company described in clause (ii) above.

(b) The execution, delivery and entry into the Bridge Notes, the Bridge Loan Agreement, the Subordination Agreement, and the documents and instruments related to each of the foregoing, and the performance of the obligations thereunder; and (c) The full or partial repayment or prepayment of the Bridge Debt (including principal, interest and any other fees or charges with respect thereto) with the proceeds from the issuance of a Qualified Financing in accordance with the Subordination Agreement.
