Consents and Approvals

Consents and Approvals. Means all authorizations, consents, orders and approvals of federal, state, local and other governmental regulatory bodies, agencies and officials necessary or proper under applicable law for the performance of the parties' obligations under this Agreement and the consummation of the Merger.
