Consolidated Retention Agreement. Means your agreement with the Company captioned "Senior Executive 3X Retention Agreement" effective September 9, 2002 (the "Original Retention Agreement"), as amended by your agreement of January 29, 2003 with Holdings captioned "Senior Executive 3X Retention Agreement, Waiver and Election" (the "Rollover Agreement") and as further amended by your letter agreement with the Company and Holdings dated on or about September 10, 2003 (the "2003 Compensation Agreement").
