Consolidated Total Leverage Ratio. As of the last day of any period of four consecutive fiscal quarters of the Parent, the ratio of (a) the aggregate principal amount of all Funded Debt of the Parent, Holdings, Intermediate Holdings, the Borrower and its Restricted Subsidiaries on such day, determined in accordance with GAAP, to (b) Consolidated EBITDA of the Borrower and its Restricted Subsidiaries for such period.
