Consolidation Transaction. A transaction or series of related transactions (including mergers, reorganizations, liquidations, share exchanges and/or consolidations involving the Company and one or more of its subsidiaries) effected to implement a reorganization of the Company and one or more of its subsidiaries (or similar transactions) that does not result in a material change in beneficial ownership of the voting securities of the Company or its successor
