Construction Cost. Means the cost of constructing any facility or equipment used or useful in the Partnership's' operations, or any expansion thereof; including, without limitation, materials, labor, equipment, permits, consulting fees, accounting and legal fees, insurance costs, contractors' fees, land and easement costs, administrative overhead charges allowed pursuant to Section 3.10(a) of the Accounting Procedures, and all other costs necessary or incidental thereto,... excluding only any costs incurred by the Partners which comprise any portion of their Initial Investment and any interest, amortization or overhead costs incurred by a Partner. Construction Cost.
