Construction

Construction. The use of any gender herein shall be deemed to include the other gender and the use of the singular herein shall be deemed to include the plural and vice versa, wherever appropriate.

Construction. Whenever required by the context, as used in this Agreement the singular number shall include the plural, the plural shall include the singular, and all words herein in any gender shall be deemed to include (as appropriate) the masculine, feminine and neuter genders.

Construction. 1.5. Construction. The Parties have participated jointly in the negotiation and drafting of this Agreement. If an ambiguity or question of intent or interpretation arises, this Agreement will be construed as if drafted jointly by the Parties, and no presumption or burden of proof will arise favoring or disfavoring either Party by virtue of the authorship of any part of this Agreement.

Construction. Includes, without limitation, the design, planning, excavation, installation and completion of improvements to the Property and the purchase of all labor and materials related thereto, as set forth in the Plans and Specifications and the Project Budget.

In construing this Agreement, unless expressly specified otherwise: (a) references to Sections and Exhibits are to sections of, and exhibits to, this Agreement; (b) except where the context otherwise requires, use of either gender includes the other gender, and use of the singular includes the plural and vice versa; (c) headings and titles are for convenience only and do not affect the interpretation of this Agreement; (d) any list, an example or examples following the word "including" or... "includes" shall be interpreted without limitation to the generality of the preceding words; (e) except where the context otherwise requires, the word "or" is used in the inclusive sense (i.e., "A or B" means: A alone, B alone, or A and B); (f) all references to "dollars" or "$" herein shall mean United States Dollars; and (g) each Party represents that it has been represented by legal counsel in connection with this Agreement and acknowledges that it has participated in the drafting hereof. Construction. The rules of construction set forth in Clause 1.2 and Clause 1.3 of the CNMV Guarantees Issuance Agreement shall apply to this Agreement, mutatis mutandis.
