Example Definitions of "Constructive Ownership"
Constructive Ownership. Ownership of shares of Capital Stock (or, for purposes of the definitions of "Actually" and "Eligible Holder," Partnership Interests) by a Person who owns such shares of Capital Stock (or Partnership Interests) in his own name or would be treated as an owner of such shares of Capital Stock (or Partnership Interests) constructively through the application of Section 318 of the Code, as modified by Section 856(d)(5) of the Code. Constructive Ownership. Means ownership of any Capital Stock by a Person who is or would be treated as an owner of such Capital Stock either actually or constructively through the application of Section 318 of the Code, modified by Section 856(d)(5) of the Code. The terms "Constructively Own" and "Constructively Owns" shall have the correlative meanings.

Ownership of Equity Shares by a person who would be treated as an owner of such shares either directly or indirectly through the application of Section 318 of the Code, as modified by Section 856(d)(5) of the Code.
