CONSULTING OPTION

CONSULTING OPTION. Shall mean the right of Executive to elect to terminate her employment pursuant to this Agreement and continue her service with the Company as a consultant commencing on or after January 1, 2006 and continuing through the end of the Employment Term pursuant to a Consulting Agreement in the form attached hereto as Exhibit 3 "A" (the "CONSULTING AGREEMENT").
