Consulting Relationship

Consulting Relationship. Means the relationship established by the provision of ongoing services by a Consultant to the Company. A Consulting Relationship is terminated when the Company delivers written notice to the Consultant that the Company no longer wishes to utilize the services of such Consultant; provided, however, that in the case of any Non-Employee Director, the Consulting Relationship is terminated on the date upon which such Non-Employee Director no longer serves on the Company's Board of Directors
