Consummate or consummate

Consummate or consummate. When used to qualify the term "Exchange Offer," shall mean validly and lawfully to issue and deliver the Exchange Notes pursuant to the Exchange Offer for all Notes validly tendered and not validly withdrawn pursuant thereto in accordance with the terms of this Agreement.
