Continuing Director. Continuing Director. Means any member of the Board who was a member of the Board on August 1, 2006, and any successor of a Continuing Director who is recommended to succeed a Continuing Director (or whose election or nomination for election is approved) by at least a majority of the Continuing Directors then on the Board.
Continuing Director. Means a director of Yellow who meets the definition of Continuing Director contained in Section 7 of Subparagraph C of Article Seventh of the Certificate of Incorporation of Yellow Corporation.

Means an individual who: (i) at the beginning of the preceding twelve (12) month period, was a director of the Board, and (ii) any new director whose election by the Board or nomination for election by the Company's stockholders was approved by a vote of at least a majority of the directors then still in office who either were directors at the beginning of the 12-month period or whose election or nomination for election was previously so approved.
Continuing Director. Shall mean, at any given time, a member of the Board who was (a) a member of the Board on August 31, 2000, (b) elected to the Board by the Board after August 31, 2000, provided that a majority of the Continuing Directors voted in favor of such election, or (c) nominated to the Board by the Board after August 31, 2000, provided that a majority of the Continuing Directors voted in favor of such nomination, and subsequently elected to the Board by the... stockholders of the Corporation. Continuing Director. The term "Continuing Director" as used in this Agreement means, as of any date of determination thereof, any member of the Board who (i) was a member of such Board on the date which is 24 months prior to the date of such determination or (ii) was nominated for election or elected to such Board with the affirmative vote of a majority of the Continuing Directors who were members of such Board at the time of such nomination or election.
