Continuing Director

Continuing Director. Shall mean, as of any date of determination, any member of the Board of Directors who (i) was a member of the Board of Directors on July 31, 2012 or (ii) was nominated for election or elected to the Board of Directors with the approval of a majority of the Continuing Directors who were members of the Board of Directors at the time of such nomination or election and who voted with respect to such nomination or election; provided that a majority of the members of the Board of Directors voting... with respect thereto shall at the time have been Continuing Directors. Continuing Director. Means, at any date, an individual (a) who is a member of the board of directors of the Borrower on the Closing Date, (b) who, as at such date, has been a member of such board of directors for at least the 12 preceding months, or (c) who has been nominated to be a member of such board of directors by a majority of the other Continuing Directors then in office.

Continuing Director. Either: (i) an individual who is a member of the Board on the date of the relevant Award Agreement; or (ii) an individual who becomes a member of the Board, subsequent to the date of the relevant Award Agreement, with the agreement of at least a majority of the Continuing Directors who are members of the Board on the date that the individual became a member of the Board.

Continuing Director. Means (i) any individual who is a member of the Board of Directors of the Company on the Issuance Date and (ii) any individual who is appointed to the Board of Directors of the Company or nominated for election to the Board of Directors of the Company by other Continuing Directors or by the holders of the Company's outstanding Series A Preferred Stock in accordance with the terms of the Certificate of Designations for the Series A Preferred Stock

Continuing Director. A Director who either (a) was a Director as of the date hereof, or (b) is an individual whose election, or nomination for election, as a Director was approved by a vote of at least a majority of the Directors then in office who were Continuing Directors.

Continuing Director.
