Example Definitions of "Control or Controlled"
Control or Controlled. Means, with respect to Know-How, ability by a Party, as of the Effective Date or during the Term, to grant a license or sublicense in accordance with the terms of this Agreement, without violating the terms of any agreement by such Party with any Third Party that is in effect on the Effective Date.
Control or Controlled. Means direct or indirect ownership by the given person or entity of more than fifty percent (50%) of the Voting Power or the power to direct or cause the direction of the day-to-day management, operations, business, and policies of the controlled entity, whether through the ownership of voting securities, by contract, or otherwise.
Control or Controlled. "Control" or "Controlled" shall mean with respect to any material, item of information, or intellectual property right, the possession, whether by ownership, license or otherwise, of the right to grant a license or other right with respect thereto to the extent set forth herein.
Control or Controlled. The term "Control" of "Controlled" shall mean with respect to any intellectual property right, the possession by a party of the ability to grant a license or sublicense of such intellectual property as provided for herein without violating the terms of any arrangement or agreements between such party and any third party.
