Controlled. Means, at any time with respect to a particular item, material, information or Intellectual Property Rights, that at such time a Party (a) owns or has a right or license to and (b) has the ability to make available and license or sublicense (as the case may be) to the other Party, such item, material, information or Intellectual Property Rights.

Controlled. And "under common Control with" have correlative meanings.
