Conversion Trigger Event

Conversion Trigger Event. Means the first date on which a Change of Control or Recapitalization is consummated; provided that in connection with such Change of Control, Scott W. Brickman exchanges vested shares of Class A Common Stock of Holdings for one or more classes of equity securities of the Issuer.

Conversion Trigger Event. Means that, as of the Initial Maturity Date, this Note has not been repaid in full either (i) in cash or (ii) through an Exchange effected in accordance with Section 2(c) below.
