Example Definitions of "Conversion Value"
Conversion Value. Shall mean the value that a Holder would be entitled to receive upon (i) conversion of the Debenture at the Conversion Price then in existence, without reference to Section 13 thereof, followed by (ii) the subsequent sale of the Common Shares received thereby at the greater of the Market Price for Shares of Common Stock in existence at the time (A) of the closing of a redemption of a Debenture or (B) of the event triggering the right to redemption.
Conversion Value. Conversion Value. Conversion Value
Conversion Value. (i) if the Closing Price is less than the Market Price, the number of Common Units issuable for the Preferred Units being converted or redeemed multiplied by the Market Price and (ii) if the Closing Price is greater than or equal to the Market Price, the Liquidation Value (as defined below) of the Preferred Units being converted or redeemed.
Conversion Value. An amount equal to the product of the number of shares of Common Stock issuable upon conversion of a share of 7% Preferred Stock pursuant to Section 6 hereof and the Closing Sale Price of the Common Stock on such date, or in the case of a Cash Transaction, the cash amount paid for each share of Common Stock in such transaction.
