Cooling Off Period. If Sellers' Representative delivers a Dispute Notice to Maker prior to the expiration of the Notice Period, Sellers' Representative and Maker shall cooperate and shall cause their respective representatives to cooperate with each other in good faith to seek to promptly resolve the Disputed Items.
