Cooper. Shall mean Cooper Industries, Ltd., a Bermuda corporation and, except in determining under Section 17(G) hereof whether any Change in Control has occurred, shall include any successor to its business and/or assets which assumes and agrees to perform this Agreement by operation of law or otherwise.
