The Base Agreement dated as of November 1, 2002 (Agreement # 4900T40116-001) between IBM and CPWR (a copy of which is attached hereto as Exhibit A) and the Technical Services Statement of Work (SOW# 4903T40167) effective as of November 1, 2003 between CPWR and IBM (as amended) (a copy of which is attached hereto as Exhibit B).
