Corporate Base Rate. Means, on any date of determination, the greater of (a) the rate of interest per annum most recently announced by Administrative Agent as its prime rate in effect at its principal office automatically fluctuating upward and downward until and at the time specified in each such announcement without special notice to AMRESCO, any other Borrower or any other Person, which prime rate may not necessarily represent the lowest or best rate ... actually charged to a customer, it being understood and agreed that such rate is set by Administrative Agent as a general reference rate of interest, taking into account such factors as Administrative Agent may deem appropriate, that it may not correspond with future increases or decreases in interest rates charged by other lenders or market rates in general, and that Administrative Agent may make various business or other loans at rates of interest having no relationship to such rate, and (b) the sum of the Federal Funds Effective Rate plus 50 basis points.
