Corporate Documents. Copies of resolutions duly adopted by the Board of Directors of Tvia approving this Agreement and the transactions contemplated thereby, in form and substance reasonably satisfactory to Licensee, and, as determined by Tvia as of the Signing Date, of any other necessary corporate action or approvals in connection with the entry and performance by Tvia of this Agreement.
