Counterparty Improvements

Counterparty Improvements. Any modification, invention, discovery, development, or works of authorship, whether or not patentable, that modifies, improves upon, extends, enhances or constitutes a derivative work of the Counterparty* Existing IPR by either or both patties during the Term of this Agreement.
