Covered Common Stock

Covered Common Stock. With respect to each Breslow Party, all shares of Common Stock of which such party is the record and/or beneficial owner as of the Effective Date together with such additional shares of Common Stock of which such party becomes the record holder or that become beneficially owned by such party, whether upon the exercise of options, conversion of convertible securities or otherwise, after the date hereof.
