Covered Event

Covered Event. Shall mean any event or occurrence related to the fact that Indemnitee is or was a director, officer, employee, agent or fiduciary of the Company, or any subsidiary of the Company, or is or was serving at the request of the Company as a director, officer, employee, agent or fiduciary of another corporation, partnership, joint venture, trust or other enterprise, or by reason of any action or inaction on the part of Indemnitee while serving in such capacity.

Covered Event. Means any event or occurrence on or after the effective date of this Agreement related to the fact that the Indemnitee is or was a Company Agent or related to anything done or not done by the Indemnitee in any such capacity, and includes, without limitation, any such event or occurrence (a) arising from performance of the responsibilities, obligations or duties imposed by ERISA or any similar applicable provisions of state or common law, or (b) arising from any merger, consolidation or other... business combination involving the Company, any Subsidiary or any Other Enterprise, including without limitation any sale or other transfer of all or substantially all of the business or assets of the Company, any Subsidiary or any Other Enterprise. Covered Event. Covered Event. Any event or occurrence related to services provided by Indemnitee as an officer, agent or fiduciary of the Company, related to the preparation and filing of Schedules 13D and 13G, and Forms 3, 4 and 5 under Sections 13 and 16, respectively, of the Securities Exchange Act of 1934, on behalf of officers, directors and shareholders of the Company, including without limitation, the execution of such schedules and forms pursuant to a power of attorney.
