Credit Note

Credit Note. That certain Amended and Restated Promissory Note dated June 17, 1998, as amended and restated as of September 1, 2000, as further amended and restated as of December 29, 2000 and as further amended by Amendment No. 1, dated January 17, 2003, in the original principal amount of $15,000,000 by the Company in favor of Motorola issued in connection with the Credit Agreement.
