Cumulative EBITDA Achievement Ratio. As of the last day of a given period, the ratio of Cumulative EBITDA to the Cumulative EBITDA Target as of such date, provided that (A) if such ratio is less than 0.95, the Cumulative EBITDA Achievement Ratio for the period shall be 0 and (B) the Cumulative EBITDA Achievement Ratio shall not exceed 1.0.
