For any security, the average of the last reported sales prices of such class of security for the ten consecutive trading days ending on the most recent trading day prior to the date of the notice of Demand Registration (or, if such sales prices are not readily available, the average closing "bid" prices for the ten consecutive trading days ending on the trading day prior to such date)
