Customer Service Fixed Assets

Customer Service Fixed Assets. Shall mean the fixed assets set forth on Schedule 2 attached hereto to the extent such fixed assets continue to be owned, controlled and possessed by the Seller at Closing. However, Customer Service Fixed Assets shall not include any Intellectual Property (including software) that has not been assumed by the Seller and assigned to the Purchaser.
