DebttoTangible Net Worth Ratio. Shall mean, for any applicable Person(s) and as of any applicable time of determination thereof, the ratio of (i) the total Debt of such Person(s) at such time, as determined in accordance with GAAP, to (ii) the Tangible Net Worth of such Person(s) at such time.
