Deemed Investment Amount

Deemed Investment Amount. A dollar amount equal to the product of (i) $1.00 and (ii) the number of shares of Common Stock that are not Registrable Warrant Securities held by the Fir Tree Investors as of the applicable time or, if securities have been issued in exchange for or in replacement of Common Stock, the number of shares of Common Stock that were not Registrable Warrant Securities held by the Fir Tree Investors immediately prior to such exchange or replacement.
