Deemed Warrant Factor. As of the date of termination of the Participant's Employment, (i) the number of Shares that would have been issued by the Company if the Warrants outstanding and unexercised as of such date were deemed exercised on a net exercise basis, based on the market value of such Shares as of such date, divided by (ii) the Total Warrant Amount.
