Defense Expenses

Defense Expenses. Shall include, without limitation, reasonable legal fees and expenses incurred in connection with a Proceeding, including any expenses of establishing a right to indemnification under Section 7 of this Agreement, but shall not include the amount of Judgment against Indemnitee.
