Deficiency Amount. With respect to each Annual Option Award, the positive difference (if any) between the exercise price per share of Stock provided in such Annual Option Award and the Initial Option Price, multiplied by the number of shares covered by such Annual Option Award (initially 50,000, subject to adjustment in accordance with Paragraph 4 hereof).
