Definitions and Interpretation. Capitalized terms used in this Agreement have the meanings specified in Schedule 1 or otherwise given to them in this Agreement. Interpretations are set out in Schedule 1.

Definitions and Interpretation. 1.1 The capitalized terms used in this Agreement shall have the meanings ascribed to them at Part A to Schedule "A" to this Agreement. 1.2 Agreement shall be interrelated in a manner and on the basis of principles as provided in Part B to Schedule "A" to this Agreement.

Definitions and Interpretation. In this Agreement, unless the context otherwise requires, the following words and expressions have the following meanings: Business Days: a day, other than Saturday, Sunday or public holiday in England, when banks in London are open for business. Closing Payment: the sum of $350,000.00 (three hundred and fifty thousand dollars (USD)). Statement: the mutually complimentary public statement, agreed by the Parties to be issued regarding the termination of the EDA and reasons for it, a draft of which is attached to this Agreement at Schedule 2.
