Demand Registration Rights. The right of the Purchaser to require the Company to effect a registration of all or part of the Conversion Securities held by the Purchaser on a registration statement on Form S-1 (or on Form S-3, if available) under the Securities Act and to register or qualify such Conversion Securities under the appropriate state securities or 'blue sky' laws in connection therewith.
