Example Definitions of "Deposit Liabilities"
Deposit Liabilities. Or "Deposit Liability" shall mean deposit liabilities with respect to all deposit accounts maintained by Assignor at the Effective Time that are defined as deposits in the Federal Deposit Insurance Act, 12 U.S.C. Section 1813, including in each case collected and uncollected deposits plus Accrued Interest, as well as all IRAs which consist solely of deposits with Assignor (including, without limitation, all deposit liabilities set forth on Schedule 1(L) hereto.
Deposit Liabilities. Means all of Seller's obligations, duties and liabilities of every type and character relating to all Deposit Accounts, which, as reflected on the books of Seller as of the close of business on the Closing Date, are attributable to the Branches and the "obligations, duties and liabilities" referred to in the immediately preceding sentence include, without limitation, the obligation to pay and otherwise process all Deposit Liabilities in accordance with applicable law and their respective... contractual terms, and the duty to supply all applicable reporting forms for post-Closing periods including, without limitation, Internal Revenue Service reporting forms, relating to the Deposit Liabilities.
